Northern Spirit Advertising operates a Connected TV (CTV) advertising platform that enables advertisers to bid on and purchase CTV app and channel inventory through programmatic and direct buying mechanisms (the "Platform" or "Services").

Each business entity is permitted to maintain one active account unless otherwise agreed in writing with Northern Spirit Advertising.

All ad destinations must be functional, safe, and consistent with your advertised offer. Landing pages must not contain malware, deceptive content, or prohibited materials.
You agree not to engage in any of the following activities:
Violations of this section may result in immediate account suspension and may be reported to relevant authorities.
Fees for using our Platform are set forth in your insertion order, service agreement, or as displayed within the Platform. All fees are in United States dollars (USD) unless otherwise specified.
You authorize us to charge your designated payment method for all fees incurred. Payment terms are net 30 days from invoice date unless otherwise agreed in writing.
You are responsible for all applicable taxes, including GST/HST, associated with your use of our Services.
Any billing disputes must be raised within 30 days of the invoice date. Undisputed portions of invoices must be paid in full by the due date.
We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month (18% annually) and to suspend Platform access for accounts with outstanding balances.
The Northern Spirit Advertising Platform, including its software, design, features, trademarks, trade names, logos, and all related technology, is owned by or licensed to Northern Spirit Advertising and is protected by applicable intellectual property laws. You may not use our intellectual property without our prior written consent.
You retain ownership of all creative assets and advertising materials you submit to the Platform. By submitting creative materials, you grant Northern Spirit Advertising a limited, non-exclusive, royalty-free licence to host, display, transmit, and distribute your ads solely for the purpose of delivering your advertising campaigns.
If you provide us with suggestions, feedback, or ideas about our Services, you grant us a perpetual, irrevocable, royalty-free right to use such feedback for any purpose without obligation to you.
Each party may have access to confidential information of the other party in connection with the Services. Each party agrees to:
This obligation does not apply to information that is or becomes publicly known through no breach of these Terms, or that is required to be disclosed by law or regulatory authority.
To the maximum extent permitted by applicable law, Northern Spirit Advertising expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You may terminate your account at any time by providing written notice to info@northernspiritadvertising.com. You remain responsible for all fees incurred prior to termination.
We may suspend or terminate your account and access to the Platform at any time, with or without notice, if:
Upon termination, your right to access the Platform ceases immediately. Active campaigns will be stopped. Sections of these Terms that by their nature should survive termination (including payment obligations, intellectual property, confidentiality, and limitation of liability) will continue in full force.
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You irrevocably submit to the exclusive jurisdiction of the courts of British Columbia, Canada for the resolution of any disputes arising under or in connection with these Terms.
Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days. If the dispute cannot be resolved through negotiation, either party may pursue its legal remedies.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and provide notice through our website or by email where required.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.
These Terms, together with our Privacy Policy and any signed insertion orders or service agreements, constitute the entire agreement between you and Northern Spirit Advertising regarding the Services and supersede all prior agreements.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, or government actions.
